Edwin Clark has been a partner with Aitken Partners since 2008 and is an experienced commercial lawyer. He has served on the boards of numerous public and private companies and government authorities.
He has skills across a wide range of legal areas where expert commercial knowledge, negotiation skills and experience is required, including:
- Business sales and acquisitions
- Commercial property development, its sale and acquisition
- Commercial dispute resolution
- ASIC and ATO prosecutions
- Complex Family Law financial matters.
Ed’s commercial and property skills include expertise in dealing with Crown Land. In particular he is an expert in legal issues unique to the Victorian Alpine areas, most of the land in which, is owned by the State government and managed by resort based management boards.
He currently advises individuals, companies, ski lodge operators, commercial operators, developers, hoteliers, financiers and the Mount Hotham Alpine Resort Management Board in relation to many diverse legal issues which arise in this area including:
- Commercial property development at Mount Hotham, Falls Creek, Mount Buller and Baw Baw with advice in relation to legal structures, management agreements, lease negotiation and financing arrangements.
- Stamp Duty, GST, CGT and income tax implications of various activities.
- Sale and purchase of ski lodges, chalet’s, hotels, restaurants and apartments.
- St.George and Bendigo Banks in relation to lease hold security documentation.
Every now and again it goes wrong, and if it does you need confident experienced legal skills to deal with this situation. Ed is currently involved in dispute resolution in relation to:
- Development of a large unit complex with planning and environmental constraints.
- GFC triggered, failed property developments.
- ASIC prosecution of directors for breach of duties.
- State Revenue Office duty assessments arising from large commercial property development restructuring.
- A Failed Joint Venture Agreement.
- A minority interest holder in a large private company and unit trust
- Family Law Litigation with the multiplicity of inter related family and unit trusts, proprietary limited companies, Self Managed Superannuation Funds, and third party claims for properties located both in and outside of Australia.
Ed is a qualified arbitrator and has been appointed arbitrator by the REIV to hear and determine disputes. Ed is currently managing director and director of a number of medium sized businesses.
